Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Framedash service ("Service") provided by Crane Valley LLC ("Company", "we", "us"). By using the Service, you agree to be bound by these Terms.

The agreement under these Terms is formed when you create an account and complete the process of agreeing to these Terms.

2. Definitions

The following terms have the meanings set forth below:

  • "User" means an individual or legal entity that creates an account on the Service and agrees to these Terms.
  • "Organization" means a team or workspace that a User creates or joins on the Service.
  • "Telemetry Data" means game performance metrics, player coordinates, events, session information, and other data that Users submit to the Service through the SDK or API.
  • "End User" means a player who plays a game developed by the User and generates Telemetry Data.
  • "User Content" means all data that Users submit or upload to the Service, including Telemetry Data, project configurations, and dashboard settings.
  • "SDK" means the software development kits provided by the Company for game engines such as Unity and Unreal Engine.

3. Description of Service

Framedash is a game telemetry SaaS platform that provides performance analytics, spatial heatmaps, and regression detection for game developers. The Service includes the web dashboard, SDKs (Unity/Unreal Engine), CLI tools, REST API, and MCP Server.

The Company may add, modify, or discontinue features of the Service at any time to improve quality. Users will be notified in advance of any significant feature discontinuation.

4. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials. All activities conducted through your account, including unauthorized use by third parties, are deemed your responsibility.
  • Each account is intended for use by a single user. You may not share your login credentials with others. Transfer, lending, or sale of your account to any third party is prohibited. If multiple members within your organization need to use the Service, please create individual accounts through the organization member management feature.
  • You must be at least 16 years of age to create an account. Users between 16 and 17 years of age must obtain consent from a parent or legal guardian before using the Service.
  • One person or legal entity may maintain only one free account.

The Company may refuse registration if:

  • Registration information is found to be false.
  • The applicant has previously had their registration revoked for violating these Terms.
  • There is other reasonable cause for the Company to deem registration inappropriate.

5. Plans, Pricing, and Auto-Renewal

The Service offers Free, Starter, Pro, Team, and Enterprise plans. Plan features, event quotas, and pricing are described on the billing page within the Service. Prices are shown in the billing currency selected for your organization (currently JPY, USD, or EUR). We reserve the right to change pricing with 30 days' notice. Price changes will take effect from the first renewal date following the notice period.

Paid plan subscriptions automatically renew under the same terms unless cancelled by the User. Monthly plans renew monthly; annual plans renew annually. Users may cancel from the billing page before the renewal date to prevent the next automatic renewal.

6. Payment and Billing

  • Paid plans are billed monthly or annually in advance via Stripe.
  • Overage events beyond your plan quota are billed at the published overage rate.
  • All fees are non-refundable except as required by applicable law.
  • We may suspend access to the Service for overdue payments.
  • Late payments shall accrue interest at a rate of 14.6% per annum from the due date until paid in full.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Transmit malicious code, viruses, or harmful data through the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell or redistribute the Service without our written consent.
  • Access the Service or extract data in bulk using automated scripts, bots, or scrapers (excluding legitimate use of the API and SDK provided by the Company).
  • Use or investigate the Service for the purpose of developing a similar or competing service.

8. SDK and API License

The Company grants the User a non-exclusive, non-transferable, non-sublicensable license to use the SDK, CLI tools, REST API, and MCP Server solely for the purpose of integrating with the Service, subject to these Terms.

  • The SDK may be incorporated into games or applications developed by the User.
  • API usage must conform to the methods described in the Service documentation and comply with rate limits set by the Company. Requests exceeding rate limits may be rejected.
  • This license terminates upon final deletion of the User's account (i.e., after the deletion grace period described in Section 14 has elapsed). SDK code already incorporated into End User applications distributed prior to termination may remain in those applications; however, such copies will cease transmitting data once the account is deleted and the User must not use the SDK to integrate with any new application or build after termination.

Intellectual Property Claims

If any part of the Service or SDK becomes, or in the Company's opinion is likely to become, the subject of an intellectual property infringement claim by a third party, the Company may at its sole discretion: (a) obtain the right for you to continue using the affected component; (b) replace or modify it to make it non-infringing; or (c) terminate the affected component and provide a pro-rata refund of any prepaid fees for the unused portion.

Export Control

You agree to comply with all applicable export control laws and regulations in connection with your use of the Service and SDK, including Japan's Foreign Exchange and Foreign Trade Act, U.S. Export Administration Regulations (EAR), and OFAC sanctions. You shall not re-export, transfer, or provide access to the Service or SDK to any sanctioned country, region, person, or entity on any prohibited or denied party list.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy.

Data Ownership and License

You retain ownership of your User Content. You grant the Company a limited, non-exclusive license to process, store, and display your User Content as necessary to provide, maintain, and improve the Service. This license terminates upon completion of account deletion and removal of all User data. Between account deletion and complete data removal, this license survives solely for the purpose of deletion processing. The same applies where data retention is required by law.

Anonymized and Aggregated Data

The Company may use anonymized and aggregated User Content for service improvement, industry benchmarking, or inclusion of statistical information in marketing materials for the Service. Anonymized and aggregated data cannot identify individual Users or End Users.

End User Obligations

You are responsible for the following regarding End User data collected through the SDK:

  • Complying with applicable privacy laws (including but not limited to APPI, GDPR, and CCPA) and obtaining appropriate consent or other legal basis from End Users for the collection and transmission of Telemetry Data.
  • Disclosing in your own privacy policy that data is transmitted to the Service.
  • Assuming data controller obligations with respect to End User data, even where the Company acts as a data processor.

No Use for AI Training

The Company does not use User Content as training data for generative AI models. The use of anonymized and aggregated data described above is limited to statistical analysis and is not used for training machine learning models.

Backup

While the Company takes reasonable backup measures, the ultimate responsibility for data backup lies with the User. Users are encouraged to regularly back up their data through the API. The Company is not liable for data loss caused by hardware failure, disasters, or other unforeseen events.

International Data Transfers

Data may be processed outside the User's country of residence. For transfers of personal data from the EEA or UK to Japan, we rely on the European Commission's adequacy decision for Japan (Decision 2019/419) and the UK's corresponding adequacy regulations. Where adequacy decisions do not apply, our Data Processing Agreement (DPA), which applies automatically as part of these Terms, incorporates EU Standard Contractual Clauses (SCCs) and, for UK transfers, the UK International Data Transfer Addendum to ensure appropriate safeguards.

10. Intellectual Property

The Service, including its design, code, trademarks, and documentation, is the property of Crane Valley LLC. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.

User Content Warranty

You represent and warrant that User Content you submit or upload to the Service does not infringe any third party's copyright, trademark, patent, or other intellectual property rights. If a third-party claim arises from a breach of this warranty, you shall indemnify the Company in accordance with Section 16 (Indemnification).

Feedback

If you provide the Company with ideas, suggestions, or improvement requests regarding the Service ("Feedback"), you grant the Company a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and incorporate such Feedback into the Service.

11. Security

Our Security Measures

  • Data in transit is protected by TLS encryption.
  • Data at rest is protected using industry-standard encryption.
  • Access control and role-based permission management are implemented.
  • Infrastructure monitoring and logging are performed.

User Security Responsibilities

  • Maintain the security of your account password and credentials.
  • Securely manage API keys and SDK authentication tokens, and do not include them in public repositories or client-side code.
  • Promptly report any unauthorized use of your account to the Company.
  • When integrating the SDK, configure it appropriately to prevent unintended transmission of personal data.

Security Incident Notification

If the Company becomes aware of a security incident affecting User data, we will notify affected Users within the timeframe required by applicable law. Notifications will include a summary of the incident, scope of impact, and remedial measures taken.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. In cases of urgent necessity, such as responding to security threats, maintenance may be performed without prior notice. The Service is provided "as is" without warranty of any kind.

Enterprise plan users may enter into a separate Service Level Agreement (SLA) with the Company.

Subcontracting

The Company may subcontract all or part of the operations necessary to provide the Service to third parties. Subcontractors include providers of server infrastructure, payment processing, and authentication services.

Service Discontinuation

If the Company decides to discontinue all or part of the Service, we will notify Users by email at least 90 days in advance. During this notice period, Users may export their telemetry data via the API.

13. Disclaimer and Limitation of Liability

Business Use Acknowledgment

The Service is provided for business use. You acknowledge that you use the Service as or on behalf of a business.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim. For users on the Free plan, the Company shall bear no liability for damages; however, where the user qualifies as a "consumer" under the Consumer Contract Act of Japan, the Company's liability shall not exceed JPY 1,000. This limitation does not apply to damages caused by the Company's willful misconduct or gross negligence. If the Consumer Contract Act of Japan applies, any limitation in this section that conflicts with that Act shall be governed by its provisions.

Force Majeure

The Company shall not be liable for any suspension, delay, or degradation of the Service caused by events beyond our reasonable control ("Force Majeure Events"), including but not limited to natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, and cyberattacks. If a Force Majeure Event continues for more than 30 days, either party may terminate these Terms by written notice.

Third-Party Service Disclaimer

The Service integrates with third-party services including, but not limited to, Stripe (payment processing), Cloudflare (CDN and security), Neon (database), ClickHouse (telemetry storage), Vercel (hosting), and Sentry (error monitoring). The Company is not liable for damages arising from specification changes, outages, or discontinuation of these external services.

14. Termination

  • You may download or request your data before cancellation. The Company provides, or will provide no later than general availability of the Service, a reasonable means of data retrieval (such as an API endpoint or dashboard export).
  • You may request account deletion at any time from the settings page. After submitting a deletion request, a 30-day grace period begins during which you may cancel the request. You may continue to use the Service during the grace period. After the grace period, account deletion processing begins.
  • We may suspend or terminate your account if you violate these Terms or if required by law.
  • Unless legally required to retain data, we will delete User data within 30 days of the grace period ending. Complete purging from backups shall be completed within 90 days after production deletion. Audit trail records required for legal compliance or security purposes may be retained beyond this period.

Inactive Account Deletion

The Company reserves the right, once inactivity-detection functionality has been implemented, to treat a Free plan account that has not been logged into or used for one year or more as inactive. Before deleting an inactive account, the Company will send a notice to the registered email address at least 30 days in advance. If the User logs in during the notice period, the deletion will be cancelled.

Survival

The following provisions shall survive termination of these Terms: Section 2 (Definitions), Section 7 (Acceptable Use), provisions of Section 9 (Data and Privacy) regarding data deletion, Section 10 (Intellectual Property), provisions of Section 11 (Security) regarding incident notification, Section 13 (Disclaimer and Limitation of Liability), Section 15 (Exclusion of Antisocial Forces), Section 16 (Indemnification), Section 18 (General Provisions), and Section 19 (Governing Law).

15. Exclusion of Antisocial Forces

Representations and Warranties

Each party represents and warrants that neither it nor its officers or employees currently is, or will in the future become, a member of or associated with organized crime groups (boryokudan), their associates, or any other antisocial forces as defined under Japanese law, and that they have no socially condemned relationships with such entities.

Prohibited Conduct

The User shall not, whether directly or through third parties, make violent demands, unreasonable demands beyond legal responsibility, use threatening language or violence in connection with transactions, or damage the Company's reputation or interfere with its business through spreading rumors, fraud, or force.

Immediate Termination

If the User violates any of the preceding provisions, the Company may immediately suspend or terminate the account without prior notice.

No Liability for Damages

The Company shall bear no liability for any damages incurred by the User as a result of termination under this Section.

16. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your violation of applicable laws, or your User Content.

17. Changes to Terms

We may update these Terms in accordance with Article 548-4 of the Japanese Civil Code. Changes may be made without individual consent where the change is beneficial to Users in general, or where the change is reasonable in light of the purpose of the agreement.

We will notify you of material changes (including price increases, changes to data handling, and changes that substantially restrict your rights) via email and by posting on the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

18. General Provisions

  • No Assignment: You may not assign any rights or obligations under these Terms to a third party without our prior written consent. The Company may assign these Terms in connection with a business transfer, merger, or acquisition.
  • Entire Agreement: These Terms (including the Privacy Policy and other referenced documents) constitute the entire agreement between the Company and the User regarding use of the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
  • Confidentiality: The User shall treat any technical, business, or other non-public information of the Company obtained through use of the Service as confidential and shall not disclose it to any third party without the Company's prior written consent, except where disclosure is required by law. The Company will manage User personal information in accordance with its Privacy Policy. Other confidential information received from Users will be managed with the same degree of care as the Company's own confidential information and will not be disclosed to third parties without the User's prior consent.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

Pre-Litigation Consultation

Before initiating any legal proceeding, the complaining party shall notify the other party in writing and the parties shall attempt to resolve the dispute through good-faith consultation for a period of at least 60 days. If the dispute is not resolved within this period, either party may proceed to litigation in the Tokyo District Court.

Limitation Period

Any claim arising under or in connection with these Terms must be brought within one (1) year after the cause of action accrues, unless a shorter or longer period is mandatorily required by applicable law. Claims not brought within this period are permanently barred.

Prevailing Party Fees

In any legal proceeding arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and court costs from the non-prevailing party, in addition to any other relief awarded.

Governing Language

The Japanese-language version of these Terms is the authoritative text. In the event of any conflict between a translated version and the Japanese version, the Japanese version shall prevail.
